Algemene voorwaarden Tax & More
Artikel 1 – Definities
- Tax & More: Tax & More, gevestigd te Riel, KvK-nummer 17271645.
- Klant: degene met wie Tax & More een overeenkomst is aangegaan.
- Partijen: Tax & More en Klant samen.
- Consument: een Klant die tevens een individu is en die als privépersoon handelt.
Artikel 2 – Toepasselijkheid
- Deze voorwaarden zijn van toepassing op alle offertes, aanbiedingen, werkzaamheden, bestellingen, overeenkomsten en leveringen van diensten of producten door of namens Tax & More.
- Tax & More en de Klant kunnen alleen afwijken van deze voorwaarden als dat schriftelijk is afgesproken.
- Tax & More en de Klant sluiten de toepasselijkheid van de algemene voorwaarden van de Klant of van anderen uitdrukkelijk uit.
Artikel 3 – Prijzen
- Tax & More hanteert prijzen in euro’s en inclusief btw en exclusief eventuele overige kosten zoals administratie – of verzendkosten, tenzij schriftelijk anders is afgesproken.
- Tax & More mag de prijzen van zijn diensten en producten op zijn website en in andere uitingen altijd wijzigen.
- De prijs met betrekking tot een dienstverlening wordt door Tax & More vastgesteld op grond van de werkelijk bestede uren of vaste prijs per product.
- De prijs wordt berekend volgens de gebruikelijke uurtarieven van Tax & More, geldend voor de periode waarin hij de werkzaamheden verricht, tenzij een afwijkend uurtarief of een vaste productprijs is afgesproken .
- Wanneer Tax & More en de Klant voor de dienstverlening een totaalbedrag afspreken, is dit altijd een richtprijs, tenzij schriftelijk anders is afgesproken.
- Tax & More mag tot 10% van de richtprijs afwijken.
- Tax & More moet de Klant op tijd laten weten waarom een hogere prijs gerechtvaardigd is, wanneer de richtprijs meer dan 10% hoger uit gaat vallen.
- De Klant mag het deel van de opdracht dat boven de richtprijs (vermeerderd met 10%) uitkomt laten vervallen, wanneer de richtprijs meer dan 10% hoger uit gaat vallen.
- Tax & More mag zijn prijzen jaarlijks aanpassen.
- Tax & More zal prijsaanpassingen meedelen aan de Klant voorafgaand aan de ingang ervan.
- De consument mag de overeenkomst met Tax & More opzeggen wanneer hij het niet eens is met de prijsverhoging.
Artikel 4 – Betalingen en betalingstermijn
- Tax & More mag bij het aangaan van de overeenkomst een aanbetaling tot 50% van het afgesproken bedrag verlangen.
- De Klant moet een betaling achteraf binnen 14 dagen na dienstverlening hebben voldaan.
- De betalingstermijnen die Tax & More hanteert, zijn fatale betalingstermijnen. Dat betekent dat indien de Klant het
afgesproken bedrag niet uiterlijk op de laatste dag van de betalingstermijn heeft betaald, hij automatisch in verzuim en in
gebreke is, zonder dat Tax & More aan de Klant een aanmaning hoeft te sturen of in gebreke hoeft te stellen.
- Tax & More mag een dienstverlening afhankelijk stellen van onmiddellijke betaling dan wel een zekerheidstelling eisen voor
het totale bedrag van de diensten of producten.
Artikel 5 – Gevolgen te late betaling
- Betaalt de Klant niet binnen de afgesproken termijn, dan mag Tax & More de wettelijke rente per maand voor niet-handelstransacties en de wettelijke rente per maand voor handelstransacties in rekening brengen vanaf de dag dat de Klant in verzuim is, waarbij een gedeelte van een maand voor een hele maand wordt gerekend.
- Wanneer de Klant in verzuim is, moet hij bovendien buitengerechtelijke incassokosten en eventuele schadevergoeding betalen aan Tax & More.
- De incassokosten worden berekend aan de hand van het Besluit vergoeding voor buitengerechtelijke incassokosten.
- Wanneer de Klant niet op tijd betaalt, mag Tax & More zijn verplichtingen opschorten totdat de Klant heeft betaald.
- In geval van liquidatie, faillissement, beslag of surseance van betaling aan de zijde van de Klant, zijn de vorderingen van Tax & More op de Klant onmiddellijk opeisbaar.
- Weigert de Klant zijn medewerking aan de uitvoering van de overeenkomst door Tax & More, dan moet hij nog steeds de
afgesproken prijs betalen.
Artikel 6 – Herroepingsrecht
- Een consument mag een online aankoop binnen 14 dagen na aankoop zonder opgave van reden ongedaan maken. Dit
herroepingsrecht geldt niet wanneer:
- de dienst logies, een reis, een restaurantbedrijf, vervoer, een cateringopdracht of een vorm van vrijetijdsbesteding betreft
- het een spoedreparatie betreft
- het weddenschappen of loterijen betreft
- de consument heeft afgezien van zijn herroepingsrecht
- het een dienst betreft die met instemming van de Klant volledig worden uitgevoerd binnen de bedenktijd en waarbij de Klant uitdrukkelijk heeft verklaard van zijn herroepingsrecht af te zien
- De bedenktijd van 14 dagen in lid 1, begint:
- zodra de consument een overeenkomst tot levering van een dienst heeft gesloten
- zodra de consument bevestigd heeft dat hij digitale inhoud via internet gaat afnemen
- De consument kan gebruik maken van zijn bedenktijd door een mail met dat onderwerp te sturen naar [email protected],
eventueel met behulp van het herroepingsformulier dat beschikbaar is op de website van Tax & More, www.taxandmore.nl.
Artikel 7 – Opschortingsrecht
Tenzij de Klant een consument is, doet hij hierbij afstand van het recht om de nakoming van enige uit deze overeenkomst
voortvloeiende verbintenis op te schorten.
Artikel 8 – Verrekening
Tenzij de Klant een consument is, doet hij afstand van zijn recht om een schuld aan Tax & More te verrekenen met een
vordering op Tax & More.
Artikel 9 – Verzekering
- De Klant moet de volgende zaken voldoende verzekeren en verzekerd houden tegen onder andere brand, ontploffings- en
waterschade, en diefstal:
- zaken van Tax & More die bij de Klant aanwezig zijn
- De Klant geeft op eerste verzoek van Tax & More de polis van deze verzekeringen ter inzage.
Artikel 10 – Garantie
Wanneer de Klant en Tax & More een overeenkomst met een dienstverlenend karakter zijn aangegaan, bevat deze voor Tax & More enkel een inspanningsverplichting en dus geen resultaatsverplichting.
Artikel 11 – Uitvoering van de overeenkomst
- Tax & More voert de overeenkomst naar beste inzicht en vermogen en volgens de eisen van goed vakmanschap uit.
- Tax & More mag de afgesproken dienstverlening in zijn geheel of deels laten uitvoeren door anderen.
- De uitvoering van de overeenkomst gebeurt in overleg en na een schriftelijk akkoord en betaling van een eventueel voorschot door de Klant.
- De Klant moet ervoor zorgen dat Tax & More op tijd kan beginnen aan de uitvoering van de overeenkomst.
- Zorgt de Klant er niet voor dat Tax & More tijdig kan beginnen, dan komen de daaruit voortvloeiende extra kosten voor rekening van de Klant.
Artikel 12 – Informatieverstrekking door de Klant
- De Klant stelt alle informatie, gegevens en bescheiden die relevant zijn voor de correcte uitvoering van de overeenkomst tijdig
en in gewenste vorm en op gewenste wijze beschikbaar aan Tax & More.
- De Klant staat in voor de juistheid en volledigheid van de ter beschikking gestelde informatie, gegevens en bescheiden, ook
indien deze van derden afkomstig zijn, voor zover uit de aard van de overeenkomst niet anders voortvloeit.
- Wanneer en voor zover de Klant dit verzoekt, retourneert Tax & More de betreffende bescheiden.
- Stelt de Klant niet, niet tijdig of niet behoorlijk de door Tax & More redelijkerwijs verlangde informatie, gegevens of bescheiden beschikbaar en loopt de uitvoering van de overeenkomst hierdoor vertraging op, dan komen de daaruit voortvloeiende extra kosten en extra uren voor rekening van de Klant.
Artikel 13 – Duur overeenkomst dienst
- De overeenkomst tussen Tax & More en de Klant betreffende een dienst of diensten wordt aangegaan voor onbepaalde tijd,
tenzij uit de aard van de overeenkomst iets anders voortvloeit of anders wordt afgesproken.
- Wanneer de Klant een overeenkomst voor bepaalde tijd aangaat, dan wordt deze na afloop van de termijn stilzwijgend omgezet in een overeenkomst voor onbepaalde tijd, tenzij 1 van de partijen de overeenkomst opzegt met inachtneming van een opzegtermijn van 2 maanden, waardoor de overeenkomst automatisch eindigt.
Artikel 14 – Opzeggen dienst voor onbepaalde tijd
- De Klant kan een overeenkomst voor een dienst voor onbepaalde tijd opzeggen met een opzegtermijn van 2 maanden.
- Een consument mag een overeenkomst voor een dienst voor onbepaalde tijd opzeggen met een opzegtermijn van 1 maand.
Artikel 15 – Geheimhouding
- De Klant houdt iedere informatie, in welke vorm dan ook, die hij van Tax & More ontvangt geheim.
- Hetzelfde geldt voor alle andere informatie betreffende Tax & More waarvan de Klant weet of redelijkerwijs kan vermoeden dat deze geheim of vertrouwelijk is, dan wel waarvan hij kan verwachten dat verspreiding ervan Tax & More schade kan berokkenen.
- De Klant neemt alle nodige maatregelen om ervoor te zorgen dat hij de informatie in lid 1 en 2 geheimhoudt.
- De in dit artikel omschreven geheimhoudingsplicht geldt niet voor informatie:
- die al openbaar was voordat de Klant deze informatie vernam of die later openbaar is geworden zonder dat dit het gevolg was van een schending van de geheimhoudingsplicht van de Klant
- die door de Klant openbaar gemaakt wordt op grond van een wettelijke plicht
- De in dit artikel omschreven geheimhoudingsplicht geldt voor de duur van de onderliggende overeenkomst en voor een
periode van 3 jaar na afloop daarvan.
Artikel 16 – Boetebeding
- Wanneer de Klant het artikel over geheimhouding of intellectueel eigendom overtreedt, dan moet hij aan Tax & More voor elke overtreding een onmiddellijk opeisbare boete betalen.
- Is de Klant een consument dan bedraagt de boete in lid 1: € 1.000.
- Is de Klant geen consument dan bedraagt de boete in lid 1: € 5.000
- Daarnaast moet de Klant een bedrag van 5% van toepasselijke bedrag in lid 2 of 3 betalen voor elke dag dat die overtreding voortduurt.
- De Klant moet de boete in lid 1 betalen zonder dat een ingebrekestelling of gerechtelijke procedure nodig is. Ook hoeft er geen sprake te zijn van schade.
- Tax & More mag naast de boete in lid 1 ook een schadevergoeding eisen van de Klant.
Artikel 17 – Vrijwaring
De Klant vrijwaart Tax & More tegen alle aanspraken van anderen die verband houden met de door Tax & More geleverde producten en/of diensten.
Artikel 18 – Klachten
- De Klant moet een door Tax & More geleverd product of verleende dienst zo snel mogelijk onderzoeken op eventuele tekortkomingen.
- Beantwoordt een geleverd product of verleende dienst niet aan dat wat de Klant redelijkerwijs mocht verwachten, dan moet de Klant Tax & More daarvan op de hoogte te stellen binnen 1 maand na het vaststellen van de tekortkoming.
- Een consument moet uiterlijk binnen 2 maanden na het vaststellen van de tekortkoming Tax & More hiervan op de hoogte stellen.
- De Klant geeft daarbij een zo gedetailleerd mogelijke omschrijving van de tekortkoming, zodat Tax & More hierop gepast kan reageren.
- De Klant moet aantonen dat de klacht betrekking heeft op een overeenkomst tussen de Klant en Tax & More.
- Wanneer een klacht gaat over lopende werkzaamheden, dan kan de Klant niet eisen dat Tax & More andere werkzaamheden gaat verrichten dan is afgesproken.
Artikel 19 – Ingebrekestelling
- De Klant moet een eventuele ingebrekestelling schriftelijk kenbaar maken aan Tax & More.
- De Klant is ervoor verantwoordelijk dat zijn ingebrekestelling Tax & More ook daadwerkelijk op tijd bereikt.
Artikel 20 – Aansprakelijkheid Klant
Wanneer Tax & More een overeenkomst aangaat met meerdere Klanten, is ieder van hen hoofdelijk aansprakelijk voor het nakomen van de afspraken in die overeenkomst.
Artikel 21 – Aansprakelijkheid Tax & More
- Tax & More is alleen aansprakelijk voor schade die de Klant lijdt wanneer die schade is veroorzaakt door opzet of bewuste roekeloosheid.
- Wanneer Tax & More aansprakelijk is voor schade, dan geldt dat alleen voor directe schade die verband houdt met de uitvoering van een onderliggende overeenkomst.
- Tax & More is niet aansprakelijk voor indirecte schade, zoals gevolgschade, gederfde winst of schade aan derden.
- Wanneer Tax & More aansprakelijk is, is deze aansprakelijkheid beperkt tot het bedrag dat door een gesloten (beroeps)aansprakelijkheidsverzekering wordt uitbetaald. Is er geen verzekering gesloten of wordt geen schadebedrag uitgekeerd, dan is de aansprakelijkheid beperkt tot het (gedeelte van het) factuurbedrag waarop de aansprakelijkheid betrekking heeft.
- Alle afbeeldingen, foto’s, kleuren, tekeningen, omschrijvingen op de website of in een catalogus zijn slechts indicatief en kunnen niet leiden tot enige vergoeding, ontbinding of opschorting.
Artikel 22 – Vervaltermijn
Elk recht van de Klant op schadevergoeding van Tax & More vervalt 12 maanden na de gebeurtenis waaruit de aansprakelijkheid direct of indirect voortvloeit. Hiermee wordt niet uitgesloten het bepaalde in artikel 6:89 BW.
Artikel 23 – Ontbinding
- De Klant mag de overeenkomst ongedaan maken wanneer Tax & More toerekenbaar tekortschiet in de nakoming van zijn verplichtingen, tenzij deze tekortkoming de ontbinding niet rechtvaardigt vanwege haar bijzondere aard of geringe betekenis.
- Is de nakoming van de verplichtingen door Tax & More nog mogelijk, dan kan ontbinding pas plaatsvinden nadat Tax & More in verzuim is.
- Tax & More mag de overeenkomst met de Klant ongedaan maken, wanneer de Klant zijn verplichtingen uit de overeenkomst niet volledig of niet tijdig nakomt, dan wel wanneer Tax & More kennis heeft genomen van omstandigheden die hem goede grond geven om aan te nemen dat de Klant zijn verplichtingen niet zal nakomen.
Artikel 24 – Overmacht
- In aanvulling op artikel 6:75 BW geldt dat een tekortkoming van Tax & More door de Klant niet aan Tax & More kan worden toegerekend wanneer er sprake is van overmacht.
- Onder de overmachtsituatie in lid 1 valt onder meer ook:
- een noodtoestand zoals een burgeroorlog of natuurramp
- wanprestatie of overmacht van toeleveranciers, bezorgers of anderen
- stroom-, elektriciteits- internet-, computer- of telecomstoringen
- computervirussen
- stakingen
- overheidsmaatregelen
- vervoersproblemen
- slechte weersomstandigheden
- werkonderbrekingen
- Wanneer zich een overmachtsituatie voordoet waardoor Tax & More 1 of meer verplichtingen naar de Klant niet kan nakomen, dan worden die verplichtingen opgeschort totdat Tax & More kan nakomen.
- Vanaf het moment dat een overmachtsituatie ten minste 30 kalenderdagen heeft geduurd, mogen zowel de Klant als Tax & More de overeenkomst schriftelijk in zijn geheel of deels ongedaan maken.
- Tax & More hoeft in een overmachtsituatie geen vergoeding aan de Klant te betalen, ook niet wanneer Tax & More hiervan voordeel heeft.
Artikel 25 – Wijziging overeenkomst
Wanneer het voor de uitvoering ervan nodig is om een gesloten overeenkomst te wijzigen, kunnen de Klant en Tax & More de overeenkomst aanpassen.
Artikel 26 – Wijziging algemene voorwaarden
- Tax & More mag deze algemene voorwaarden wijzigen.
- Wijzigingen van ondergeschikt belang mag Tax & More altijd doorvoeren.
- Ingrijpende wijzigingen zal Tax & More zoveel mogelijk vooraf met de Klant bespreken.
- Een consument mag bij een ingrijpende wijziging van de algemene voorwaarden de onderliggende overeenkomst opzeggen.
Artikel 27 – Overgang van rechten
- De Klant kan geen rechten uit een overeenkomst met Tax & More aan anderen overdragen zonder schriftelijke toestemming van Tax & More.
- Deze bepaling geldt als een beding met goederenrechtelijke werking zoals in artikel 3:83 lid 2 BW.
Artikel 28 – Gevolgen nietigheid of vernietigbaarheid
- Wanneer 1 of meerdere bepalingen van deze algemene voorwaarden nietig of vernietigbaar blijken, dan heeft dit geen invloed op de overige bepalingen van deze voorwaarden.
- Een bepaling die nietig of vernietigbaar is, wordt in dat geval vervangen door een bepaling die het dichtst in de buurt komt van wat Tax & More bij het opstellen van de voorwaarden op dat punt voor ogen had.
Artikel 29 – Toepasselijk recht en bevoegde rechter
- Op deze algemene voorwaarden en iedere onderliggende overeenkomst tussen de Klant en Tax & More is Nederlands recht van toepassing.
- De rechter in het arrondissement van de vestigingsplaats van Tax & More is exclusief bevoegd om kennis te nemen van eventuele geschillen tussen de Klant en Tax & More, tenzij de wet iets anders bepaalt.

Article 1 – Definitions
- Tax & More: Tax & More, established in Riel, Chamber of Commerce number 17271645.

Article 2 – Applicability
- These terms and conditions apply to all quotations, offers, work, orders, agreements and deliveries of services or products by or on behalf of Tax & More.
- Tax & More and the Customer may only deviate from these terms and conditions if this has been agreed in writing.
- Tax & More and the Customer expressly exclude the applicability of the general terms and conditions of the Customer or others.
Article 3 – Prices
- 1. Tax & More uses prices in euros and includes VAT and excludes any other costs such as administration or shipping costs, unless otherwise agreed in writing.
- 2. Tax & More may always change the prices of its services and products on its website and in other expressions.
- 3. The price with regard to a service is determined by Tax & More on the basis of the actual hours spent or a fixed price per product.
- 4. The price is calculated according to the usual hourly rates of Tax & More, applicable for the period in which it performs the work, unless a different hourly rate or a fixed product price has been agreed.
- 5. When Tax & More and the Client agree on a total amount for the service, this is always a guideline price, unless otherwise agreed in writing.
- 6. Tax & More may deviate up to 10% from the guideline price.
- 7. Tax & More must inform the Client in time why a higher price is justified, if the guideline price is going to be more than 10% higher. 8. The Customer may cancel the part of the order that exceeds the target price (increased by 10%) if the target price is more than 10% higher.
- 9. Tax & More may adjust its prices annually.
- 10. Tax & More will communicate price adjustments to the Customer prior to their entry into force.
- 11. The consumer may terminate the agreement with Tax & More if he does not agree with the price increase.
Article 4 – Payments and payment terms
- Tax & More may request a down payment of up to 50% of the agreed amount when entering into the agreement.
- The Customer must have made a payment in arrears within 14 days after the service has been provided.
- The payment terms used by Tax & More are fatal payment terms. This means that if the Customer has not paid the agreed amount by the last day of the payment term, he is automatically in default and in breach, without Tax & More having to send the Customer a reminder or put him in default.
- Tax & More may make a service dependent on immediate payment or demand security for the total amount of the services or products.
Article 5 – Consequences of late payment
- If the Customer does not pay within the agreed term, Tax & More may charge the statutory interest per month for non-commercial transactions and the statutory interest per month for commercial transactions from the day that the Customer is in default, whereby a part of a month is counted as a whole month.
- If the Customer is in default, he must also pay extrajudicial collection costs and any compensation to Tax & More.
- The collection costs are calculated on the basis of the Decree on compensation for extrajudicial collection costs.
- If the Customer does not pay on time, Tax & More may suspend its obligations until the Customer has paid.
- In the event of liquidation, bankruptcy, attachment or suspension of payment on the part of the Customer, Tax & More’s claims on the Customer are immediately due and payable.
- If the Customer refuses to cooperate with the execution of the agreement by Tax & More, he must still pay the agreed price.
Article 6 – Right of withdrawal
- A consumer may cancel an online purchase within 14 days after purchase without giving any reason. This right of withdrawal does not apply when:
- the service concerns accommodation, a trip, a restaurant business, transport, a catering order or a form of leisure activity
- it concerns an emergency repair
- it concerns betting or lotteries
- the consumer has waived his right of withdrawal
- it concerns a service that is fully performed within the cooling-off period with the consent of the Customer and where the Customer has expressly declared that he waives his right of withdrawal
- The cooling-off period of 14 days in paragraph 1, starts:
- as soon as the consumer has concluded an agreement for the delivery of a service
- as soon as the consumer has confirmed that he will purchase digital content via the internet
- The consumer can make use of his cooling-off period by sending an email with that subject to [email protected], possibly using the withdrawal form that is available on the Tax & More website, www.taxandmore.nl.
Article 7 – Right of suspension
Unless the Customer is a consumer, he hereby waives the right to suspend the fulfillment of any obligation arising from this agreement.
Article 8 – Set-off
Unless the Customer is a consumer, he waives his right to set off a debt to Tax & More against a claim on Tax & More.
Article 9 – Insurance
- The Customer must sufficiently insure and keep insured the following items against, among other things, fire, explosion and water damage, and theft:
- items of Tax & More that are present at the Customer
- The Customer shall provide the policy of these insurances for inspection at the first request of Tax & More.
Article 10 – Warranty
If the Customer and Tax & More have entered into an agreement with a service-providing nature, this only contains an obligation of effort for Tax & More and therefore no obligation of result.
Article 11 – Execution of the agreement
- Tax & More will execute the agreement to the best of its knowledge and ability and in accordance with the requirements of good workmanship.
- Tax & More may have the agreed services performed in whole or in part by others.
- The agreement will be executed in consultation and after written agreement and payment of any advance payment by the Client.
- The Client must ensure that Tax & More can start executing the agreement on time.
- If the Client does not ensure that Tax & More can start on time, the resulting additional costs will be borne by the Client.
Article 12 – Provision of information by the Client
- The Client will make all information, data and documents that are relevant to the correct execution of the agreement available to Tax & More in a timely manner and in the desired form and manner.
- The Client guarantees the correctness and completeness of the information, data and documents made available, even if they originate from third parties, unless the nature of the agreement dictates otherwise.
- When and to the extent that the Client requests this, Tax & More will return the relevant documents.
- If the Client does not, does not timely or does not properly provide the information, data or documents reasonably requested by Tax & More and the execution of the agreement is delayed as a result, the resulting additional costs and additional hours will be charged to the Client.
Article 13 – Duration of service agreement
- The agreement between Tax & More and the Customer concerning a service or services is entered into for an indefinite period, unless the nature of the agreement dictates otherwise or is otherwise agreed.
- If the Customer enters into an agreement for a fixed period, it will be tacitly converted into an agreement for an indefinite period after the term has expired, unless one of the parties terminates the agreement with due observance of a notice period of 2 months, whereby the agreement ends automatically.
Article 14 – Termination of service for an indefinite period
- The Customer can terminate an agreement for a service for an indefinite period with a notice period of 2 months.
- A consumer may terminate an agreement for a service for an indefinite period with a notice period of 1 month.
Article 15 – Confidentiality
- The Customer shall keep all information, in whatever form, that he receives from Tax & More confidential.
- The same applies to all other information concerning Tax & More of which the Client knows or can reasonably suspect that it is secret or confidential, or of which he can expect that its dissemination could cause damage to Tax & More.
- The Client shall take all necessary measures to ensure that he keeps the information in paragraphs 1 and 2 secret.
- The confidentiality obligation described in this article does not apply to information:
- that was already public before the Client learned of this information or that later became public without this being the result of a breach of the Client’s confidentiality obligation
- that is made public by the Client on the basis of a legal obligation
- The confidentiality obligation described in this article applies for the duration of the underlying agreement and for a period of 3 years after its expiry.
Article 16 – Penalty clause
- If the Client violates the article on confidentiality or intellectual property, he must pay Tax & More an immediately due penalty for each violation.
- If the Customer is a consumer, the fine in paragraph 1 is: € 1,000.
- If the Customer is not a consumer, the fine in paragraph 1 is: € 5,000
- In addition, the Customer must pay an amount of 5% of the applicable amount in paragraph 2 or 3 for each day that the violation continues.
- The Customer must pay the fine in paragraph 1 without the need for a notice of default or legal proceedings. Nor does it have to be a case of damage.
- In addition to the fine in paragraph 1, Tax & More may also claim compensation from the Customer.
Article 17 – Indemnification
The Customer indemnifies Tax & More against all claims from others related to the products and/or services supplied by Tax & More.
Article 18 – Complaints
- The Customer must investigate a product supplied or service provided by Tax & More as soon as possible for any shortcomings.
- If a delivered product or service does not meet what the Customer could reasonably expect, the Customer must inform Tax & More of this within 1 month of discovering the shortcoming.
- A consumer must inform Tax & More of this within 2 months of discovering the shortcoming.
- The Customer must provide as detailed a description as possible of the shortcoming, so that Tax & More can respond appropriately.
- The Customer must demonstrate that the complaint relates to an agreement between the Customer and Tax & More.
- If a complaint concerns ongoing work, the Customer cannot demand that Tax & More perform other work than agreed.
Article 19 – Notice of default
- The Customer must notify Tax & More of any notice of default in writing.
- The Customer is responsible for ensuring that his notice of default actually reaches Tax & More on time.
Article 20 – Liability of Client
When Tax & More enters into an agreement with multiple Clients, each of them is jointly and severally liable for fulfilling the agreements in that agreement.
Article 21 – Liability of Tax & More
- Tax & More is only liable for damage suffered by the Client when that damage is caused by intent or deliberate recklessness.
- When Tax & More is liable for damage, this only applies to direct damage related to the performance of an underlying agreement.
- Tax & More is not liable for indirect damage, such as consequential damage, lost profit or damage to third parties.
- When Tax & More is liable, this liability is limited to the amount paid out by a concluded (professional) liability insurance. If no insurance is concluded or no amount of damage is paid out, the liability is limited to the (part of the) invoice amount to which the liability relates. 5. All images, photos, colours, drawings, descriptions on the website or in a catalogue are only indicative and cannot lead to any compensation, dissolution or suspension.
Article 22 – Expiry period
Any right of the Customer to compensation from Tax & More expires 12 months after the event from which the liability directly or indirectly arises. This does not exclude the provisions of article 6:89 BW.
Article 23 – Dissolution
- The Customer may cancel the agreement if Tax & More is culpably in breach of its obligations, unless this breach does not justify dissolution due to its special nature or minor significance.
- If compliance with the obligations by Tax & More is still possible, dissolution can only take place after Tax & More is in default. 3. Tax & More may cancel the agreement with the Customer if the Customer does not fully or timely fulfil its obligations under the agreement, or if Tax & More has become aware of circumstances that give it good reason to assume that the Customer will not fulfil its obligations.
Article 24 – Force Majeure
- In addition to Article 6:75 of the Dutch Civil Code, a shortcoming of Tax & More by the Customer cannot be attributed to Tax & More if there is force majeure.
- The force majeure situation in paragraph 1 also includes:
- an emergency such as a civil war or natural disaster
- default or force majeure of suppliers, deliverers or others
- power, electricity, internet, computer or telecom disruptions
- computer viruses
- strikes
- government measures
- transport problems
- bad weather conditions
- work stoppages
- If a force majeure situation occurs as a result of which Tax & More cannot fulfil 1 or more obligations to the Customer, those obligations will be suspended until Tax & More can fulfil them.
- From the moment that a force majeure situation has lasted for at least 30 calendar days, both the Customer and Tax & More may cancel the agreement in writing in its entirety or in part.
- Tax & More does not have to pay compensation to the Customer in a force majeure situation, even if Tax & More benefits from it.
Article 25 – Amendment of agreement
If it is necessary to amend a concluded agreement for its implementation, the Customer and Tax & More can amend the agreement.
Article 26 – Amendment of general terms and conditions
- Tax & More may amend these general terms and conditions.
- Tax & More may always implement amendments of minor importance.
- Tax & More will discuss major amendments with the Customer in advance as much as possible.
- A consumer may terminate the underlying agreement in the event of a major amendment to the general terms and conditions.
Article 27 – Transfer of rights
- The Customer cannot transfer any rights under an agreement with Tax & More to others without the written consent of Tax & More.
- This provision applies as a clause with property law effect as in article 3:83 paragraph 2 BW.
Article 28 – Consequences of nullity or voidability
- If 1 or more provisions of these general terms and conditions prove to be null and void or voidable, this will not affect the other provisions of these terms and conditions.
- A provision that is null and void or voidable will in that case be replaced by a provision that comes closest to what Tax & More had in mind when drawing up the terms and conditions on that point.
Article 29 – Applicable law and competent court
Dutch law applies to these general terms and conditions and every underlying agreement between the Customer and Tax & More. 2. The judge in the district of the place of business of Tax & More has exclusive jurisdiction to hear any disputes between the Customer and Tax & More, unless the law provides otherwise.
